Service agreement
Last updated October 23, 2026
This is the standard agreement between Tyler Brooks Irby, doing business as Brooks Irby Tech & Facilities (“I,” “me”) and the client who accepts a written quote (“you”). Your quote lists the details of your project, and together the quote and this agreement are our contract.
1. Scope of work
Your written quote describes what I will deliver, the price, and the expected timeline. Anything not listed in the quote is outside the scope. If you ask for extra work, I’ll quote it separately before starting.
2. Prices and payment
- Website projects typically fall between $300 and $500. Your quote states your exact price.
- Network and on-site work, and stand-alone speed fixes, are priced by quote.
- If a deposit is needed, your quote will say so. Invoices are due by the date shown on the invoice.
- Costs for third-party services, such as domain registration, are not included unless your quote says they are.
3. What I need from you
To finish on time, I need your text, photos, logo, and feedback when I ask for them. Delays on your side may move the timeline. You promise that you own, or have permission to use, anything you give me.
4. Revisions
Your quote includes reasonable revisions to the agreed scope. Large changes in direction, or work beyond the scope, will be quoted separately.
5. Ownership
Once your project is paid in full, the website files and content created for you belong to you. Where possible, I set up your domain and hosting accounts in your name so you stay in control. I may show the finished site as an example of my work unless you ask me not to.
6. No guarantees about results
I’ll do my best work, but I can’t promise specific search rankings, website traffic, or sales.
7. Network and on-site work
On-site and network hardware work is covered by its own written quote. Before I start, you are responsible for backing up important data and saving existing settings. I’ll tell you about risks I notice, and I will work carefully, but equipment can fail or behave unexpectedly. My responsibility for these projects is limited as described in section 9.
8. Ending a project early
Either of us can end a project early by giving written notice (email is fine). You’ll pay for the work completed up to that point.
9. Limit of liability
To the fullest extent the law allows, my total responsibility to you for any claim related to a project is limited to the amount you paid me for that project. I’m not liable for indirect losses, such as lost profits or lost business.
10. Confidentiality
I’ll keep private business information you share with me confidential and use it only to do the work.
11. General
This agreement and your quote are the whole agreement between us. Changes must be in writing. It is governed by the laws of the State of Alabama.
Any dispute about this agreement will be brought in the state or federal courts located in Mobile County, Alabama, and you and I both agree to those courts.
